Terms of Service

1. Who you are contracting with
QuickWaiver (the "Service") is operated by Navarn William Lakos ("QuickWaiver", "we", "us"). By creating an account or using the Service you agree to these Terms of Service. If you do not agree, do not use the Service.
2. The service
QuickWaiver provides software that allows general contractors and subcontractors to generate, deliver, and electronically sign construction lien waiver documents, and to store audit metadata and signed PDFs. We do not provide legal advice; the Service is a tool that helps you produce documents that you and your counterparty are responsible for reviewing.
3. Your account
You must provide accurate information, keep it up to date, and keep your credentials confidential. You are responsible for all activity under your account. You represent that you are of legal age and, if signing up on behalf of a company, that you have authority to bind that company.
4. Acceptable use
You must not, and must not permit anyone else to:
- use the Service for anything unlawful, fraudulent, or misleading;
- send spam or unsolicited messages through our SMS or email features;
- infringe anyone's intellectual property, privacy, or other rights;
- probe, scan, scrape, reverse engineer, or interfere with the security or integrity of the Service, or introduce malware;
- resell, sublicense, or otherwise make the Service available to third parties outside your organization;
- use the Service to create documents you know to be false, forged, or that misrepresent the underlying payment or work performed.
5. Electronic signatures
Signatures collected through the Service are intended to comply with the U.S. federal ESIGN Act (15 U.S.C. §§ 7001 et seq.) and the Uniform Electronic Transactions Act (UETA). By signing a waiver you agree that your electronic signature is legally binding to the same extent as a handwritten signature. You are responsible for confirming that a given electronic waiver satisfies the statutory requirements applicable to your project and jurisdiction.
6. Intellectual property
The Service, including its software, design, and content (excluding your data and the documents you generate), is owned by Navarn William Lakos and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your subscription. You retain ownership of the waiver data and PDFs you generate; you grant us a limited license to host, process, and transmit that content solely to provide the Service.
7. Payments, subscriptions, and Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Checkout / Buyer Terms in addition to these Terms and our Refund Policy.
Subscriptions renew automatically at the interval you select until you cancel. You can cancel at any time from your account or through Paddle's billing portal.
8. Service availability & disclaimer
The Service is provided "as is" and "as available". We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free, or that any document generated will be accepted by every counterparty or authority. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the twelve months preceding the event giving rise to the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or loss of goodwill. Nothing in these Terms limits liability that cannot be limited under applicable law.
10. Suspension and termination
We may suspend or terminate your access if you materially breach these Terms, fail to pay amounts due, or create a security, legal, or fraud risk to us or other users. You may stop using the Service at any time. On termination, your right to use the Service ends; you may request an export of your data for a reasonable period before we delete it.
11. Indemnity
You will indemnify and hold harmless QuickWaiver from claims arising out of content or data you submit, your use of the Service in violation of these Terms, or your violation of applicable law.
12. Governing law
These Terms are governed by the laws of the United States and the state in which Navarn William Lakos resides, without regard to conflict-of-law rules. The courts located in that jurisdiction will have exclusive jurisdiction over disputes, except where applicable law provides otherwise.
13. Changes
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.
